Introduction

These Terms and Conditions ("Terms") regulate the usage and conditions of the website https://fightly.io/ (“Website”), and the decentralized application (“dApp”) (collectively referred to as the “Platform”) provided by Fightly Labs Limited ("Platform Operator", "we", "us", "our"), a company incorporated and registered under the laws of the Republic of Seychelles. These Terms establish a legally binding agreement between the Platform Operator and its Affiliates (as defined below), subsidiaries worldwide, and you, an end user of the Services (“you” or “User”). The Platform Operator and you are referred to individually as “Party” and collectively as “Parties”.

By accessing, registering, using, or interacting with the Services and information provided by the Platform Operator via the Platform, you accept and agree to all the terms outlined herein.

We strongly recommend that you read these Terms and our Privacy Policy thoroughly before using the Services. By using the Services in any manner, you agree that: (i) you have read and understood these Terms; (ii) you comprehend these Terms; and (iii) you agree to be bound by these Terms when using the Platform. If you do not agree to these Terms, please refrain from accessing or using the Services.

We reserve the right to modify or amend these Terms, the Platform's functionality, or any content on the Platform from time to time for security, legal, or regulatory reasons, as well as to reflect updates or changes to the Services or the Platform's functionality. Users are advised to periodically review these Terms to stay informed of the current versions and comply with them. Changes will take immediate effect upon the publication of revised versions of these Terms on the Platform. By continuing to use or interact with the Platform, Services, tools, and information provided on these platforms, you agree to be bound by the revised provisions.

We will notify you of any changes to these Terms by posting a notification on the Platform. By acknowledging the notification, you agree that we have provided sufficient notice of any changes. It is your responsibility to seek professional advice regarding any legal requirements you must comply with when using the Platform and tools related to participating in the Services provided by us.

Definitions

• "Affiliate": Refers to any other company that, directly or indirectly, (i) is controlled by that party, (ii) controls that party, or (iii) is under common control with that party. For the Platform Operator, this includes any fund, limited partnership, collective investment vehicle, or other entities managed or advised by our team.

• "AML": Anti-Money Laundering.

• "Applicable Laws": Refers to laws, regulations, ordinances, treaties, guidelines, and policies issued by governmental organizations or regulatory bodies, including the governing law stipulated under the Laws of the British Virgin Islands.

• "CFT": Combating the Financing of Terrorism.

• "Confidential Information": Any non-public, proprietary information or documents of or related to the User or Platform Operator (whether written, oral, or by any other means) provided by or on behalf of the User to Platform Operator. This includes information marked confidential (including visual, oral, or electronic form) related to the Platform Operator or any other User, disclosed through the Platform Operator.

• "Content": All content generated by Platform Operator, including logos, marks, images, illustrations, designs, icons, photographs, videos, text, written or multimedia materials, services, advertisements, software, code, data, files, archives, folders, or available downloads on the Platform.

• "Cookie": Small text files placed on your computer by the Website you visit. They are used to make the Website work or work more efficiently, as well as to provide information to the site's owner.

• "IDO": Initial DEX Offerings or Initial Decentralized Exchange Offerings.

• "Partners": Third-party service providers affiliated with the Platform Operator.

• "Platform": The Website, dApp, or any other platform operated by the Platform Operator that hosts Token Sale Projects and officially launches Project Tokens to be distributed to users.

• "Prohibited Jurisdictions": The United States of America (including its territories, dependencies, and any state of the United States), Botswana, Cambodia, Central African Republic, Cuba, Democratic People’s Republic of Korea, Ethiopia, Ghana, Iran, Iraq, Libya, Somalia, South Sudan, Sri Lanka, Syria, Sudan, Thailand, Trinidad and Tobago, Tunisia, Venezuela, Yemen.

• "Project Token": A token issued by a Token Sale Project through the Platform.

• "Services": Services provided to Users through the Platform, including access to new Project Tokens offered from each Token Sale Project, and other relevant services available through the Platform, including free trials and beta services, which may be periodically revised.

• "Token Sale Project": A fundraising project issuing Project Tokens through an IDO hosted on the Platform.

• "Wallet(s)": A wallet compatible with the Ethereum Network, such as MetaMask or Trust wallet.

General Provisions

Contractual Relationship

These Terms constitute a valid and binding agreement between You and the Platform Operator. The binding obligations stipulated in these Terms are enforceable.

Revision and Amendments

The Platform Operator reserves the right to revise, amend, or update any clauses and provisions in these Terms at its sole discretion at any time. The Platform Operator will notify the revision or amendment of such clauses or provisions by updating these Terms and specifying the 'Last Revised Date' displayed on a page of Terms and Conditions. Any revisions and updates will be automatically effective upon their publication on the Platform. Your continued access or use of the Platform and Services signifies your agreement to the revised terms and provisions. If you do not agree with any revised or updated terms, you should immediately cease accessing or using our Services. Regularly reviewing these Terms is encouraged to ensure understanding and compliance.

Privacy Policy

You acknowledge and confirm that you have read, understood, and agreed to the provisions in the Privacy Policy, which explains how the Platform Operator handles your information and protects your privacy when you access or use the Platform. By using the Platform, you agree that the Platform Operator may collect and use your information, and anonymized data related to your use of the Services for analytics, trend identification, and statistical purposes to enhance the effectiveness and efficiency of the Services.

You expressly authorize the Platform Operator to disclose any and all information relating to you in its possession to law enforcement or government officials upon a valid court order.

Links to and from the Platform

You may gain access to websites operated or made available by persons other than us (“Third Party Services”) through hypertext or other computer links on the Platform. These hyperlinks are provided for your convenience.

A link from Third Party Services does not imply that the Platform Operator endorses or approves the content on such websites or operates those websites. You are solely responsible for determining the extent to which you use or rely on any content at any Third Party Services websites accessed from the Platform. The Platform Operator has no control over these sites or resources and accepts no responsibility for them or any loss or damage arising from your use of them.

The Platform Operator assumes no responsibility for the use of, or inability to use, any Third Party Services’ software, materials, or content posted and/or uploaded on such websites and will have no liability for any inaccuracy or incompleteness of such third-party content. All intellectual property rights in and to Third Party Services are the property of the respective third parties.

Disclaimer for Accessibility of the Services

The Services merely facilitate Users' access to Project Tokens and do not provide any warranty or representation regarding their quality, value, specification, fitness for purpose, completeness, or accuracy of their technology or infrastructure.

The Platform Operator will make all commercially reasonable attempts to provide information about Token Sale Projects hosted on the Platform. However, you acknowledge that the Platform Operator does not guarantee the accuracy, timeliness, or completeness of such information and does not provide any warranty in connection with your use or reliance on such information. Your use of information regarding Token Sale Projects hosted on the Platform is at your own risk. The Platform Operator will not be liable for any termination, interruption, delay, or inaccuracy of any Token Sale Project information displayed on the Platform.

To the extent permitted by applicable laws, the Services are provided on an ‘AS IS’ and ‘AS AVAILABLE’ basis. The Platform Operator does not warrant that the Platform's features and functions will meet your preferences. You agree that your access and use of the Services are at your own risk, and you will be responsible for any consequences arising from using the Services. The Platform Operator will not be liable in this regard.

You acknowledge that the Platform may contain links to third-party websites or services not owned or controlled by the Platform Operator, thus the Platform Operator will not be responsible for the content or services, goods, or activities provided by such third-party websites. You further agree that the Platform Operator has no liability for any damage, loss, or consequence arising from the usage or reliance on any content, material, or services available through third-party websites.

The Platform Operator reserves the right to limit the availability of the Services to any person, geographic area, or jurisdiction at any time and at its sole discretion. Additionally, the Platform Operator may withdraw the Services or your access to the Services at any time without notice for commercial, security, technical, maintenance, legal, or regulatory reasons, or due to any breach of these Terms.

The Platform Operator may, at its sole discretion, impose limits or restrictions on your use of the Services. For reasons beyond our control, including Acts of God, failure of public or private telecommunications networks, or failure of Ethereum, Platform Operator will not be liable for any delay, error, interruption, or failure to perform any obligation under these Terms.
